In consideration for your right to access and use the service, you and Revamp Web Services (“us” or “we” - the provider of the service) agree as follows: 1. Revser.com reserves the right to take any action it deems necessary with respect to your BuildAffiliateWebsites account or forum account if we have reason to believe it may cause us to lose the services of our ISP or suppliers. 8. NO RESALE, REDISTRIBUTION OR REPURPOSING OF SERVICE OR CONTENT WITHOUT PERMISSION You agree not to reproduce, duplicate, copy, sell, resell or otherwise exploit for any commercial purposes other than those intended by this agreement, use of the service, access to the service or any of the content accessible through the service, other than content to which you hold the intellectual property rights. Regarding the content or design on your website which you do not hold the intellectual property right to, you will not redistribute or resell to anyone who is not made aware of, and has agreed to, this Agreement. Revamp Web Services must be contacted and involved in the agreement process. 9. DISCLAIMER OF WARRANTIES YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (a) YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. REVAMP WEB SERVICES EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. (b) REVAMP WEB SERVICES MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE INFORMATION THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE. (c) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS OBTAINED AND USED AT YOUR SOLE RISK AND DISCRETION AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. LIMITATION OF LIABILITY YOU EXPRESSLY UNDERSTAND AND AGREE THAT REVSER.COM SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF REVSER.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE. 11. INDEMNITY You agree to indemnify and hold Revamp Web Services, and its subsidiaries, affiliates, officers, agents, employees, and contractors harmless from any claim or demand, including attorneys' fees, made by any third party due to or arising out of Content you submit, post to or transmit through the Service, your use of the service, your connection to the service, your violation of the law, this Agreement or the rights of another. 12. NOTICES Notices to you may be made via email. Revamp Web Services may also provide notices of changes to this agreement or the service by displaying notices or links to notices to you generally on the service. 13. LEGAL DISPUTES This agreement and your relationship with Revamp Web Services shall be governed by the laws of the Province of British Columbia without regard to its conflict of law provisions. You and Revamp Web Services agree to submit to the personal and exclusive jurisdiction of the courts located within the city of North Vancouver, British Columbia, Canada and agree that any claim or cause of action arising out of or related to use of the Service or the agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. 14. MODIFICATION We may make reasonable amendments to this agreement at any time by posting the amended terms on our site. All amendments shall automatically be effective 30 days after they are initially posted on our site. Your use of the service following the effective date of any modifications shall constitute your binding acceptance of those modifications. This agreement may not be otherwise amended except in a writing signed by an officer of Revser.com. This agreement was last modified on February 6th, 2007. 15. GENERAL This Agreement constitutes the entire agreement between you and Revamp Web Services with respect to the service and supersedes all prior agreements and understandings between you and Revser.com. In the event that a portion of this agreement is held unenforceable, the unenforceable portion will be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the provisions will remain in full force and effect. 16. OFFICIAL LANGUAGE - ENGLISH This agreement, the service, and the Revamp Web Services sites are developed in English. While they maybe translated into other languages, to the extent that a translation of this agreement, the service, or any revser.com site is provided, it is afforded as a convenience only. For all purposes, only the English version of this agreement, and the English version of any Revamp Web Services sites shall be the official and binding version. Revamp Web Services is not responsible for the accuracy and correctness of the translation. You are solely responsible to carefully read AND UNDERSTAND the English text and YOU AGREE THAT YOU MAY NOT RELY on any translation AS AN OFFICIAL DOCUMENT OR REPRESENTATION.
